Job Summary:

Under the supervision of the Manager of Legal, Bechtel Enterprises, provide advice and support to corporate strategy, business and project development teams, and senior leadership on legal and commercial issues involving mergers & acquisitions, project finance, strategic investments, joint ventures and other corporate transactions for Bechtel worldwide.

Major Responsibilities:

  • Work closely with various development teams, corporate strategy, and other legal and non-legal cross-functional teams from our business lines to lead strategic transactions from NDA through post-closing integration.
  • Serve as a subject matter expert on finance-related and M&A legal matters, offering training, guidance and counsel to deal teams and stakeholders.
  • Assist in structuring finance, project development and M&A transactions to optimize value, mitigate legal risks, and ensure alignment with the company’s strategic objectives.
  • Draft, review, and negotiate agreements at all stages of the transaction lifecycle, including term sheets, definitive acquisition agreements, shareholder agreements, joint development agreements, development loan agreements and other transaction documents.
  • Conduct thorough legal due diligence on potential partnership and acquisition targets to identify and mitigate risks, ensure compliance, and support informed investment decisions.
  • Stay updated on relevant laws and regulations impacting finance and M&A transactions and ensure full compliance throughout the process.
  • Oversee the organization and maintenance of legal documents related to finance and M&A transactions, ensuring accuracy and accessibility.
  • Work closely with deal teams, external legal advisors, and other stakeholders to drive M&A and finance initiatives.
  • Train and advise deal teams on the company's internal protocols and procedures to ensure that compliance is maintained.

Education and Experience Requirements:

  • Requires a Juris Doctor (or international equivalent) and 15+ years of relevant experience
  • Must hold a current bar admission from a U.S. jurisdiction (foreign qualified lawyers will also be considered).
  • Minimum ten years work experience in mergers & acquisitions, project finance, strategic investments, joint ventures and other corporate transactions from a major law firm, or a major corporate in-house legal department.

Required Knowledge and Skills:

  • Must be prepared to travel on an "as-needed" basis.
  • Excellent oral and written communication skills.
  • Ability to work effectively with people at all levels within the company.
  • Capable of directing and reviewing the work of junior attorneys and managing external counsel.
  • Well-honed advisory, negotiation, and drafting skills.
  • A high degree of business acumen and a strategic approach.
  • Problem solver, with a self-starter mentality.
  • Corporate and project finance experience, experience leading project finance and mergers & acquisitions transactions preferred.
